1. Identification of the seller

The seller is the company Root-Me Pro, SAS with a share capital of €4000, whose registered office is 29 bis Chemin de Grave 69450 Saint-Cyr-au-Mont-d'Or, France, registered under number 878 403 906 with the Registre du Commerce et des Sociétés de LYON, VAT number: FR23878403906.

2. Scope of sales

These General Terms and Conditions of Sale apply, without restriction or reservation, to all sales made by Root-Me Pro (hereinafter referred to as the Company) to non-professional consumers and buyers (hereinafter referred to as the Customer(s)) wishing to purchase the products offered for sale by the Company (hereinafter referred to as the Products) on the "Root-Me Shop" website (hereinafter referred to as the Site).

The Customer is required to read these Terms and Conditions before placing any order. In particular, they specify the terms and conditions of ordering, payment, delivery and management of any returns of Products ordered by Customers.

These General Terms and Conditions of Sale are systematically communicated to all Customers prior to the conclusion of the sales contract and shall prevail, where applicable, over any other version or any other contradictory document. This information will be provided, on request, in a format accessible to the disabled.

The Customer declares that he has read and accepted these General Terms and Conditions of Sale before concluding the sales contract.

As these General Terms and Conditions of Sale may be subject to subsequent modifications, the version applicable to the Customer's purchase is that in force on the Site at the date of the order.

3. Creation of a customer account

All customers are invited to create a customer account before confirming their order.

The following information will be collected by the Company for the sole purpose of creating the customer account and fulfilling orders: surname, first names, e-mail address, delivery address and billing address (if different), telephone number.

The customer account gives access to order history, orders in progress and returns management.

The Customer is solely responsible for the management and confidentiality of his/her login and password. Any problem relating to these identifiers may be reported to the Company by sending an e-mail to shop@pro.root-me.org.

Customer accounts may be terminated at any time by sending an e-mail to: shop@pro.root-me.org. Customer accounts that have been inactive for more than three (3) years will be automatically terminated by the Company at the end of this period.

Termination of an account entails the deletion of all information and data linked to the account. Customers are therefore invited to download any documents accessible via the account that they wish to keep before proceeding with account termination.

4. Products

The choice and purchase of a Product is the sole responsibility of the Customer.

The main characteristics of the Products, and in particular the specifications, illustrations and indications of dimensions or capacity of the Products, are presented on the Site.

It is the Customer's responsibility to refer to the description of each Product in order to know its essential characteristics before placing an order.

Contractual information is confirmed at the latest when the order is validated by the Customer.

Product offers are subject to availability, as specified when the order is placed.

5. Orders

The Customer acknowledges having the capacity required to contract and purchase the Products offered on the Site.

The Customer places an order from the online catalog, using the form provided therein, for any Product, subject to availability.

For the order to be validated, the Customer must accept the present General Terms and Conditions of Sale by clicking where indicated. They must also choose the address, delivery method and payment method.

The Customer may check the details of his order, its total price and correct any errors before confirming his acceptance. It is the Customer's responsibility to check the accuracy of the order and to immediately report or rectify any errors.

The sale will be considered definitive after confirmation of acceptance of the order has been sent to the Customer by e-mail and the full price has been received by the Company.

Should a Product ordered be unavailable, the Customer will be informed by e-mail. The order for this Product will then be cancelled and reimbursed, with the remainder of the order remaining firm and definitive.

In the event of non-payment, incorrect address or other problem with the Customer's account, the Company reserves the right to block the order until the problem has been resolved.

Once an order has been confirmed and accepted under the conditions described above, it cannot be modified or cancelled, except in the event of withdrawal or force majeure.

The Customer may track the progress of his order on the Site.

The Company does not sell the Products on the Site to professionals. Customers acting in a professional capacity may contact our sales department at commerce@pro.root-me.org.

The Company also reserves the right to refuse orders for the same Product in large quantities and comprising more than 50 identical items. For any request exceeding this number, the Customer may contact the sales department at commerce@pro.root-me.org for a quotation.

 6. Prices and payment

Products are supplied at the prices in force on the Site at the time the order is placed.

Prices are expressed in the currency selected by the Customer, inclusive of all taxes, and include VAT applicable in France or in the country of delivery on the day the order is placed.

They do not include the costs of processing, shipping, transport and delivery, which are invoiced in addition, under the conditions indicated on the Site and calculated before the order is placed.

The Customer is informed that customs duties and additional taxes may apply to international orders. These taxes, in particular customs duties, are at the customer's expense and are payable directly by the customer.

Prices take account of any discounts shown on the Site at the date of the order.

These prices are firm and non-revisable during their period of validity, as indicated on the Site, the Company reserving the right, outside this period of validity, to modify prices at any time.

An invoice is issued to the Customer upon delivery of the Products ordered.

The price is payable in cash, in full, on the day the order is placed, by secure payment, using the following methods:

- By credit card: Carte Bancaire, Visa, MasterCard, American Express, other credit cards.

- By e-wallet Paypal or Apple Pay

Transactions are always confirmed. We recommend that you print out the confirmation form and keep it. In any case, if no confirmation is sent to the customer, he/she is informed that it will automatically be saved in PDF format in his/her customer area. This form also contains all the contact details needed to contact the Site in the event of a problem.

Payments made on the Site are made via secure payment platforms, with control procedures specific to each payment method. The terms and conditions of each service provider apply, and the Customer is invited to read them before proceeding with payment.

Any order confirmed on the Site constitutes the formation of a distance contract between the Customer and the Company. In the absence of proof to the contrary, the data recorded in the Company's computer system constitutes proof of all transactions concluded with the Customer. Orders and invoices are archived on a reliable and durable medium that can be produced as proof.

7. Delivery

Delivery is constituted by the transfer to the Customer of physical possession or control of the Product.

Products ordered by the Customer are delivered within the times indicated when the order is placed or within our shipping policy. Delivery times are calculated from the time the order is dispatched to the address indicated by the Customer when placing the order.

The Company undertakes to use its best efforts to deliver the products ordered by the Customer within the times specified above. However, these times are given as an indication only.

In the event of late delivery, the Customer may request that the sale be rescinded in accordance with articles L 216-2, L 216-3 and L241-4 of the French Consumer Code. The sums paid by the Customer will then be refunded in accordance with the aforementioned provisions.

Except in special cases or when one or more Products are unavailable, all Products ordered will be delivered at once.

Deliveries are made by an independent carrier, to the address given by the Customer at the time of ordering, and to which the carrier has easy access.

The Customer is responsible for checking the condition of the Products delivered. The Customer has a period of fourteen (14) days from the date of delivery to make any claim relating to damage to the Products as a result of the delivery in writing to the following address: shop@pro.root-me.org, together with all relevant supporting documents (in particular photos).

8. Right of withdrawal

In accordance with the provisions of the French Consumer Code, customers have a period of fourteen (14) working days from the date of delivery of their order to return any Products that do not suit them and request an exchange or refund without penalty, with the exception of the cost of return, which remains at the customer's expense.

Products must be returned in their original packaging and in perfect condition within fourteen (14) days of notification to the seller of the decision to cancel. Damaged, soiled or incomplete Products will not be accepted for return.

The right of withdrawal can be exercised online, using the withdrawal form available here : Root-Me Shop withdrawal form. In this case, an acknowledgement of receipt on a durable medium will be sent immediately to the Customer. Any other form of declaration of withdrawal is accepted. It must be unambiguous and express the wish to withdraw.

If the right of withdrawal is exercised within the aforementioned period, only the price of the Product(s) purchased and the delivery costs will be reimbursed; the cost of returning the Product(s) will be borne by the Customer.

Reimbursement will be made within fourteen (14) days of notification of the decision to withdraw, subject to the effective return of the Products concerned.

9. Liability of the Company - Warranties

The Products sold on the Site comply with the regulations in force in France and their performance is compatible with non-professional use.

The Products are covered by law and without additional payment, independently of the right of withdrawal, in accordance with legal provisions;

- the legal guarantee of conformity, for Products which appear to be defective, damaged or do not correspond to the order,

- the legal warranty against hidden defects resulting from a material, design or manufacturing defect affecting the products delivered and rendering them unfit for use,

under the terms and conditions set out in articles L 217-3 et seq. of the French Consumer Code and articles 1641 et seq. of the French Civil Code, referred to in the box below and defined in the appendix to these General Terms and Conditions of Sale (Warranty of Conformity / Warranty against Hidden Defects).

 

Under the legal warranty of conformity, the consumer:

- has a period of two (2) years from delivery of the goods to take action against the seller;

- may choose between repairing or replacing the good, subject to the cost conditions stipulated in article L. 217-12 of the French Consumer Code;

- is exempted from proving the existence of a lack of conformity during this period.

In order to assert his rights, the Customer must inform the Company, in writing, of the non-conformity of the Products within a maximum of two (2) years from delivery of the Products or from the discovery of the hidden defects within the above-mentioned time limits, and return the defective Products in the condition in which they were received with all the elements (accessories, packaging, instructions, etc.).

The Company will reimburse, replace or repair Products deemed to be non-compliant or defective.

The Company may not be held liable in the following cases:

- non-compliance with the legislation of the country in which the products are delivered, which it is the Customer's responsibility to check,

- in the event of misuse, professional use, negligence or lack of maintenance on the part of the Customer, as well as in the event of normal wear and tear of the Product, accident or force majeur.

In any event, the warranty is limited to the replacement or reimbursement of Products that do not conform or are defective.

10. Protection of personal data

We remind you that the personal data collected from the Customer is necessary for the processing of his/her order and the preparation of invoices. The processing of data communicated via the Site complies with legal requirements concerning the protection of personal data. 11. Intellectual property rights

The Site, its content and the Products offered for sale are either the property of the Company or that of its partners, and are protected by French and international intellectual property laws. Any total or partial reproduction of these elements is strictly prohibited and may constitute an infringement of copyright.

12. Force majeure

The Parties shall not be held liable if the non-performance or delay in the performance of any of their obligations as described herein is due to a case of force majeure, within the meaning of article 1218 of the French Civil Code.

13. Applicable law - Language

The present General Terms and Conditions of Sale and the operations arising therefrom are governed by French law.

They are written in French. Should they be translated into one or more languages, only the French text will be deemed authentic in the event of a legal issue.

14. Legal issues

All disputes arising from the purchase and sale transactions concluded in application of these General Terms and Conditions of Sale, concerning their validity, interpretation, performance, termination, consequences and consequences, and which cannot be resolved between the Company and the Customer, shall be submitted to the competent courts under the conditions of common law.

The Customer is hereby informed that he may, in any event, have recourse to conventional mediation, in particular with the Consumer Mediation Commission (French Consumer Code, art. L 612-1) or with existing sectoral mediation bodies, the references of which are given on the Site, with our mediation body: CM2C Centre de la Médiation de la Consommation des Conciliateurs de Justice (contact them by post at the following address: CM2C, 49 Rue de Ponthieu, 75008 Paris; or by e-mail at the following address: cm2c@cm2c.net) or to any alternative issue resolution method in the event of an issue.

15. Pre-contractual information - Customer acceptance

The fact that a natural person (or legal entity) places an order on the Site implies full acceptance of these General Terms and Conditions of Sale and the obligation to pay for the Products ordered, which is expressly recognized by the Customer, who waives, in particular, the right to rely on any contradictory document, which would be unenforceable against the Company.


ANNEXE - DISPOSITIONS RELATIVES AUX GARANTIES LEGALES

Reproduction des articles L217-3 à L217-5, L217-7 et L217-13 du Code de la consommation et des articles  1641 et  1648 du Code civil

Article L217-3 du Code de la consommation

Le vendeur délivre un bien conforme au contrat ainsi qu'aux critères énoncés à l'article L. 217-5.

Il répond des défauts de conformité existant au moment de la délivrance du bien au sens de l'article L. 216-1, qui apparaissent dans un délai de deux ans à compter de celle-ci.

Dans le cas d'un contrat de vente d'un bien comportant des éléments numériques :

1° Lorsque le contrat prévoit la fourniture continue d'un contenu numérique ou d'un service numérique pendant une durée inférieure ou égale à deux ans, ou lorsque le contrat ne détermine pas la durée de fourniture, le vendeur répond des défauts de conformité de ce contenu numérique ou de ce service numérique qui apparaissent dans un délai de deux ans à compter de la délivrance du bien ;

2° Lorsque le contrat prévoit la fourniture continue d'un contenu numérique ou d'un service numérique pendant une durée supérieure à deux ans, le vendeur répond des défauts de conformité de ce contenu numérique ou de ce service numérique qui apparaissent au cours de la période durant laquelle celui-ci est fourni en vertu du contrat.

Pour de tels biens, le délai applicable ne prive pas le consommateur de son droit aux mises à jour conformément aux dispositions de l'article L. 217-19.

Le vendeur répond également, durant les mêmes délais, des défauts de conformité résultant de l'emballage, des instructions de montage, ou de l'installation lorsque celle-ci a été mise à sa charge par le contrat ou a été réalisée sous sa responsabilité, ou encore lorsque l'installation incorrecte, effectuée par le consommateur comme prévu au contrat, est due à des lacunes ou erreurs dans les instructions d'installation fournies par le vendeur.

Ce délai de garantie s'applique sans préjudice des articles 2224 et suivants du code civil. Le point de départ de la prescription de l'action du consommateur est le jour de la connaissance par ce dernier du défaut de conformité.

Article L217-4 du Code de la consommation

Le bien est conforme au contrat s'il répond notamment, le cas échéant, aux critères suivants :

1° Il correspond à la description, au type, à la quantité et à la qualité, notamment en ce qui concerne la fonctionnalité, la compatibilité, l'interopérabilité, ou toute autre caractéristique prévues au contrat

2° Il est propre à tout usage spécial recherché par le consommateur, porté à la connaissance du vendeur au plus tard au moment de la conclusion du contrat et que ce dernier a accepté ;

3° Il est délivré avec tous les accessoires et les instructions d'installation, devant être fournis conformément au contrat ;

4° Il est mis à jour conformément au contrat.

Article L217-5 du Code de la consommation

I.-En plus des critères de conformité au contrat, le bien est conforme s'il répond aux critères suivants :

1° Il est propre à l'usage habituellement attendu d'un bien de même type, compte tenu, s'il y a lieu, de toute disposition du droit de l'Union européenne et du droit national ainsi que de toutes les normes techniques ou, en l'absence de telles normes techniques, des codes de conduite spécifiques applicables au secteur concerné ;

2° Le cas échéant, il possède les qualités que le vendeur a présentées au consommateur sous forme d'échantillon ou de modèle, avant la conclusion du contrat ;

3° Le cas échéant, les éléments numériques qu'il comporte sont fournis selon la version la plus récente qui est disponible au moment de la conclusion du contrat, sauf si les parties en conviennent autrement ;

4° Le cas échéant, il est délivré avec tous les accessoires, y compris l'emballage, et les instructions d'installation que le consommateur peut légitimement attendre ;

5° Le cas échéant, il est fourni avec les mises à jour que le consommateur peut légitimement attendre, conformément aux dispositions de l'article L. 217-19 ;

6° Il correspond à la quantité, à la qualité et aux autres caractéristiques, y compris en termes de durabilité, de fonctionnalité, de compatibilité et de sécurité, que le consommateur peut légitimement attendre pour des biens de même type, eu égard à la nature du bien ainsi qu'aux déclarations publiques faites par le vendeur, par toute personne en amont dans la chaîne de transactions, ou par une personne agissant pour leur compte, y compris dans la publicité ou sur l'étiquetage.

II.-Toutefois, le vendeur n'est pas tenu par toutes déclarations publiques mentionnées à l'alinéa qui précède s'il démontre :

1° Qu'il ne les connaissait pas et n'était légitimement pas en mesure de les connaître ;

2° Qu'au moment de la conclusion du contrat, les déclarations publiques avaient été rectifiées dans des conditions comparables aux déclarations initiales ; ou

3° Que les déclarations publiques n'ont pas pu avoir d'influence sur la décision d'achat.

III.-Le consommateur ne peut contester la conformité en invoquant un défaut concernant une ou plusieurs caractéristiques particulières du bien, dont il a été spécifiquement informé qu'elles s'écartaient des critères de conformité énoncés au présent article, écart auquel il a expressément et séparément consenti lors de la conclusion du contrat.

Article L217-7 du Code de la consommation

 Les défauts de conformité qui apparaissent dans un délai de vingt-quatre mois à compter de la délivrance du bien, y compris du bien comportant des éléments numériques, sont, sauf preuve contraire, présumés exister au moment de la délivrance, à moins que cette présomption ne soit incompatible avec la nature du bien ou du défaut invoqué.

Pour les biens d'occasion, ce délai est fixé à douze mois.

Lorsque le contrat de vente d'un bien comportant des éléments numériques prévoit la fourniture continue d'un contenu numérique ou d'un service numérique, sont présumés exister au moment de la délivrance du bien les défauts de conformité qui apparaissent :

1° Durant un délai de deux ans à compter de la délivrance du bien, lorsque le contrat prévoit cette fourniture pendant une durée inférieure ou égale à deux ans ou lorsque le contrat ne détermine pas la durée de fourniture ;

2° Durant la période durant laquelle le contenu numérique ou le service numérique est fourni en vertu du contrat, lorsque celui-ci prévoit cette fourniture pendant une durée supérieure à deux ans. L'action résultant du défaut de conformité se prescrit par deux ans à compter de la délivrance du bien.

 Article L217-8 du Code de la consommation

 En cas de défaut de conformité, le consommateur a droit à la mise en conformité du bien par réparation ou remplacement ou, à défaut, à la réduction du prix ou à la résolution du contrat, dans les conditions énoncées à la présente sous-section.

 Le consommateur a, par ailleurs, le droit de suspendre le paiement de tout ou partie du prix ou la remise de l'avantage prévu au contrat jusqu'à ce que le vendeur ait satisfait aux obligations qui lui incombent au titre du présent chapitre, dans les conditions des articles 1219 et 1220 du code civil.

 Les dispositions du présent chapitre sont sans préjudice de l'allocation de dommages et intérêts.

 Article L217-13 du Code de la consommation

 Tout bien réparé dans le cadre de la garantie légale de conformité bénéficie d'une extension de cette garantie de six mois.

Dès lors que le consommateur fait le choix de la réparation mais que celle-ci n'est pas mise en œuvre par le vendeur, la mise en conformité par le remplacement du bien fait courir, au bénéfice du consommateur, un nouveau délai de garantie légale de conformité attaché au bien remplacé. Cette disposition s'applique à compter du jour où le bien de remplacement est délivré au consommateur.

Article L217-28 du Code de la consommation

Lorsque le consommateur demande au garant, pendant le cours de la garantie légale ou de la garantie commerciale qui lui a été consentie lors de l'acquisition ou de la réparation d'un bien, une remise en état couverte par cette garantie, toute période d'immobilisation suspend la garantie qui restait à courir jusqu'à la délivrance du bien remis en état.

Cette période court à compter de la demande d'intervention du consommateur ou de la mise à disposition pour réparation ou remplacement du bien en cause, si ce point de départ s'avère plus favorable au consommateur.

Le délai de garantie est également suspendu lorsque le consommateur et le garant entrent en négociation en vue d'un règlement à l'amiable.

Article 1641 du Code civil

Le vendeur est tenu de la garantie à raison des défauts cachés de la chose vendue qui la rendent impropre à l'usage auquel on la destine, ou qui diminuent tellement cet usage, que l'acheteur ne l'aurait pas acquise, ou n'en aurait donné qu'un moindre prix, s'il les avait connus.

Article 1648 alinéa 1er du Code civil

L'action résultant des vices rédhibitoires doit être intentée par l'acquéreur dans un délai de deux ans à compter de la découverte du vice.
